Terms & Commission Agreement

Version 2026-10-25. These terms apply to everyone who uses Oceanvex Bunkers (the "Platform"), run by Oceanvex Maritime Partners Pte. Ltd. ("Oceanvex", "we").

1. How Oceanvex works

  • Bunker suppliers, traders and brokers ("Suppliers") post indicative prices by port and grade for free. Ship owners, managers, operators and agents ("Buyers") use the Platform for free and never pay Oceanvex.
  • Buyers send requests through the Platform. Suppliers reply with firm quotes. When a Buyer accepts a quote, Oceanvex introduces both sides to confirm the nomination, delivery and bunker delivery note (BDN).
  • All contact goes through Oceanvex until then. Suppliers do not see Buyers' names, companies, vessel names or contact details, and Buyers do not see Suppliers' names or contact details. Contact details written in messages are removed automatically.
  • Prices on the board are indicative and set by each Supplier. Only a Supplier's firm quote is an offer. Oceanvex does not sell fuel and does not guarantee quality, quantity, delivery or payment.

2. Commission Agreement (Suppliers)

By ticking "I agree" when you sign up or on the acceptance page, you (and the company you act for) agree to this Commission Agreement. The Platform records who accepted, when, from which IP address and which version.

2.1 Definitions

  • Introduction: the first time a Buyer sends a request that reaches the Supplier through the Platform, or Oceanvex passes a Buyer's request to the Supplier. Each Introduction is logged with a reference (BNK-…) and date.
  • Introduced Buyer: the Buyer, and every company that is its parent, subsidiary, affiliate, manager, operator, charterer or agent, and every vessel owned, managed or operated by any of them.
  • Delivery: any supply of marine fuel or lubricants by the Supplier (or its affiliates, physical suppliers or traders acting for it) to an Introduced Buyer.

2.2 Commission

  • The Supplier pays Oceanvex US$1.00 per metric ton on every Delivery, based on the quantity in the bunker delivery note (BDN).
  • Commission is due for the Delivery introduced and for every later Delivery to the same Introduced Buyer during the protection period below.
  • Commission is earned at delivery and is due even if the Buyer pays the Supplier late or not at all.

2.3 Payment

  • The Supplier tells Oceanvex the delivered quantity and sends a copy of the BDN within 3 days of each Delivery.
  • Commission is payable within 14 days of the Delivery, without set-off or deduction, to the account on Oceanvex's invoice.
  • Late amounts carry interest at 1.5% per month, and the Supplier pays Oceanvex's reasonable costs of collection, including legal fees.

2.4 No going around Oceanvex (non-circumvention)

  • For 24 months after an Introduction, the Supplier must not deal, directly or indirectly, with the Introduced Buyer except through Oceanvex.
  • If a Delivery to an Introduced Buyer happens in that period, the commission is due in full, even if it was arranged outside the Platform, through another trader or broker, or under a different company or vessel name.
  • The Supplier is responsible for its staff, affiliates and physical suppliers keeping to this clause.

2.5 Records

The Platform's records of Introductions, messages, quotes, acceptances and BDN quantities are accepted by both sides as evidence of the Introduction and of these terms, unless clearly shown to be wrong.

3. Buyers

  • Using the Platform is free for Buyers.
  • For 24 months after an Introduction, the Buyer must not deal with the introduced Supplier except through Oceanvex, and must not ask for or share contact details to get around Oceanvex. If the Buyer does and a Delivery follows, the Buyer pays Oceanvex an amount equal to the commission Oceanvex would have earned, as agreed compensation.
  • When a Buyer accepts a quote, the order is confirmed between the Buyer and the Supplier on the Supplier's terms of sale. Check them before the delivery.

4. Confidentiality

  • Prices, quotes and requests seen on the Platform are confidential. They may only be used to buy or sell bunkers through Oceanvex.
  • Do not put email addresses, phone numbers, websites, vessel names or company names in messages. The Platform removes them, and Oceanvex may suspend accounts that try to get around this.

5. Quality, quantity and safety

  • Suppliers confirm they hold any licence needed in the port (for example an MPA bunker supplier licence in Singapore) and supply fuel to the agreed ISO 8217 specification.
  • Buyers should take samples, use a surveyor where needed and check the BDN. Quality or quantity claims are between the Buyer and the Supplier.
  • Check all parties and vessels against sanctions lists (UN, EU, UK, US OFAC, Singapore MAS). Do not use the Platform for sanctioned parties or vessels.

6. Law and disputes

These terms are governed by the laws of Singapore. Any dispute will be resolved by arbitration in Singapore under the rules of the Singapore Chamber of Maritime Arbitration (SCMA), by a sole arbitrator. Oceanvex may also bring a claim for unpaid commission in any court where the other party has assets.
